NexEra provides professional HR services to businesses and individuals, including:

• Recruitment process outsourcing (RPO)

• Payroll management and processing
• Fractional CHRO and HR advisory services

The scope of any specific engagement is governed by a separate service agreement signed between NexEra and the relevant client. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall prevail.

Eligibility

You must be at least 18 years of age to use our website or submit an application. By using our website, you represent that you meet this requirement. If you are accessing our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

User accounts and submissions

When you submit a job application, enquiry, or CV through our website, you agree to:

• Promptly update any information that becomes inaccurate
• Not impersonate any person or misrepresent your identity, qualifications, or employment history

Candidate obligations

• Ensure that your CV and all supporting documents are accurate and do not contain fabricated qualifications or employment history
• Attend interviews and assessments arranged on your behalf in a professional and timely manner, or provide adequate notice if you are unable to do so
• Inform us promptly of any offers, acceptances, or other material changes to your job search status
• Not contact our clients directly to bypass NexEra in relation to any role for which we introduced you, without our prior written consent
• Maintain confidentiality regarding any proprietary information about our clients disclosed to you during a recruitment process

Client obligations

If you engage NexEra on behalf of a business as a client, you agree to:

• Provide accurate and complete job briefs, role requirements, and any other information reasonably necessary for us to fulfil the engagement
• Treat all candidate information shared by NexEra as confidential and use it solely for the purpose of evaluating candidates for the specified role
• Not share candidate profiles with third parties without NexEra's written consent
• Comply with all applicable labour laws, anti-discrimination laws, and employment regulations in your hiring process
• Notify NexEra promptly if a candidate introduced by us accepts employment, in order to trigger the applicable fee arrangements

Fees and payment

Fees for NexEra's services are set out in the applicable service agreement between NexEra and the client. Unless otherwise agreed in writing:

• Recruitment fees are payable on the agreed trigger event (typically the candidate's start date or acceptance of an offer)
• All fees are quoted exclusive of applicable taxes (including GST)
• Invoices are payable within 30 days of the invoice date unless a different payment schedule has been agreed in writing
• Late payments may attract interest at the rate of 2% per month on the outstanding balance

NexEra reserves the right to suspend services in the event of non-payment.

Disclaimers

Our website and the information contained on it are provided "as is" and "as available", without any warranty of any kind, whether express or implied. To the fullest extent permitted by law, NexEra disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components. We do not make any representations regarding job availability, the suitability of any candidate for a specific role, or the outcome of any recruitment process.

Limitation of liability

To the maximum extent permitted by applicable law, NexEra and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our website or services, including but not limited to loss of profits, loss of data, or business interruption.

Where liability cannot be excluded by law, our aggregate liability for any claim shall not exceed the fees paid (if any) by you to NexEra in the three months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless NexEra and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms
• Any inaccurate or misleading information you have provided
• Your violation of any applicable law or the rights of a third party

Termination

NexEra reserves the right to suspend or terminate your access to our website or services at any time, without prior notice, if we reasonably believe you have violated these Terms or applicable law. Termination does not affect any rights or obligations that have accrued prior to termination.

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from written notice of the dispute.

Changes to these terms

We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of our website after changes have been posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
